Tax incentives for crowdfunding investors
For those considering equity crowdfunding in the UK, it’s vital to understand the significant tax advantages offered by the government to encourage investment in early-stage businesses.
The two most important schemes are the Seed Enterprise Investment Scheme (SEIS) and the Enterprise Investment Scheme (EIS).
These schemes make investing in start-ups and small businesses much more attractive by reducing the potential downside for investors through generous tax reliefs.
If a company is "SEIS" or "EIS" eligible, it signals to investors that they can benefit from these government-backed incentives.
Seed enterprise investment scheme (SEIS)
SEIS is designed for very early-stage start-ups, often referred to as 'seed' stage companies.
Due to the high-risk nature of these businesses, the tax reliefs are particularly generous to compensate investors for taking a bigger gamble.
Key benefits for investors:
Income tax relief: Investors can claim back 50% of their investment against their income tax bill. For the 2026/27 tax year, this applies to investments of up to £200,000 per year.
Capital gains tax (CGT) exemption: If the shares are held for at least three years, any profit from selling them is completely exempt from Capital Gains Tax.
Loss relief: If the company fails and the shares become worthless, an investor can offset the loss against their income tax, further reducing the financial blow.
CGT reinvestment relief: An investor can exempt 50% of a capital gain from another asset if they reinvest that gain into an SEIS-eligible company.
For a company to be eligible, it must have been trading for less than three years, have gross assets below £350,000, and have fewer than 25 employees.
A company can raise a lifetime maximum of £250,000 through SEIS.
Enterprise investment scheme (EIS)
EIS is targeted at small to medium-sized, more established companies that are still considered high-risk.
It is often the next step for businesses that have outgrown the SEIS limits.
Key benefits for investors:
Income tax relief: Investors can claim back 30% of their investment against their income tax bill. This applies to investments of up to £1 million per year, or up to £2 million if at least £1 million is invested in 'knowledge-intensive' companies.
Capital gains tax (CGT) exemption: As with SEIS, there is no CGT to pay on profits from selling the shares, provided they are held for at least three years.
Loss relief: Should the investment fail, loss relief is also available, allowing the loss to be set against either income tax or capital gains.
CGT deferral relief: An investor can defer a capital gain made on any asset by reinvesting that gain into an EIS-eligible company.
To qualify for EIS, a company must generally be less than seven years old, have gross assets of no more than £15 million before the investment, and have fewer than 250 employees.
A company can raise up to £5 million each year, with a total lifetime limit of £12 million.
